These Terms of Service apply to services provided by CODIFY AI SRL (CUI 51174729, Trade Register no. J2025004646003, registered in Romania), operating under the CodifyAI brand ("CodifyAI", "we", "us", "our").

1. Acceptance

By using CodifyAI's services or website, you agree to these Terms of Service. If you do not agree, please do not use our services. Use of this website and any services constitutes acceptance of these terms and our Privacy Policy.

2. Services

CodifyAI provides Odoo Community implementation, custom module development, managed Odoo hosting (SaaS), and support and maintenance services. Each project or subscription is governed by a separate order confirmation, statement of work, or subscription agreement.

3. SaaS and Hosting Services

When you purchase a managed hosting plan ("SaaS subscription"), CodifyAI provides you with a hosted Odoo Community environment on its infrastructure. You are responsible for:

  • The personal data of your own users and customers stored inside your tenant
  • Compliance with GDPR and applicable data protection laws as the data controller for your tenant data
  • Your own and your users' use of the software within the tenant
  • Ensuring your users comply with these terms and our Acceptable Use Policy

CodifyAI processes data inside your tenant only as a data processor acting on your instructions to provide the hosting service. A Data Processing Agreement is available — see Data Processing Information.

4. Intellectual Property

Unless otherwise agreed in a separate written contract, custom work developed for a customer project is licensed to the customer for internal business use upon full payment. CodifyAI retains ownership of its pre-existing modules, frameworks, tools, templates, know-how, SaaS platform components, reusable code, design systems, and general technical methods. The Odoo Community software remains under the GNU LGPL-3 licence. Open-source components remain subject to their original licences.

CodifyAI modules, module packs, SaaS platform components, dashboards, connectors, automation tools, and reusable code are licensed, not sold, unless a separate written agreement explicitly states otherwise.

5. Payment and Billing

Project fees are as quoted and confirmed in writing. Invoices are payable within 14 days of issue unless otherwise agreed. SaaS subscriptions are billed on the agreed billing cycle (monthly or annually). Late payment may result in suspension of services after reasonable notice.

Refunds and cancellations are governed by our Refund and Cancellation Policy, the specific order or subscription terms, and applicable consumer protection laws where relevant.

6. Cancellation and Termination

Either party may terminate a service agreement with 30 days' written notice unless the applicable order or agreement provides otherwise. Upon termination of a hosting subscription, CodifyAI will make tenant data available for export for a limited period as stated in the applicable SaaS Subscription Terms or order agreement. After that period, data may be deleted or anonymised in accordance with the applicable retention policy, legal obligations, and Data Processing Agreement.

7. Warranties and Support

CodifyAI warrants that services will be performed in a professional and workmanlike manner. Bug fixes and support are provided per agreed terms. CodifyAI does not warrant that services will be uninterrupted or error-free unless a separate SLA is agreed in writing. The Odoo Community software is provided under LGPL-3.

8. Limitation of Liability

To the maximum extent permitted by applicable law, CodifyAI's aggregate liability is limited to the fees paid for the specific service giving rise to the claim in the 12 months preceding the claim. CodifyAI is not liable for indirect, consequential, or incidental damages, loss of profits, or loss of data beyond its recovery obligations. This limitation does not apply to liability arising from fraud or wilful misconduct, and does not limit rights that cannot be excluded under applicable mandatory law.

9. Privacy and Data Protection

CodifyAI processes personal data in accordance with its Privacy Policy. Where CodifyAI acts as data processor for hosted tenant environments, processing is governed by the applicable Data Processing Agreement.

10. Governing Law and Dispute Resolution

These terms are governed by Romanian law, unless a separate written agreement or applicable mandatory law provides otherwise. Disputes shall be subject to the jurisdiction of Romanian courts, unless applicable consumer protection rules provide otherwise in the customer's jurisdiction.

EU consumer rights: Consumers in the EU benefit from the protections provided by EU Directive 2011/83/EU on consumer rights and applicable national consumer protection laws. Nothing in these terms limits mandatory consumer protection rights that cannot legally be excluded or waived under applicable EU or national law.

Consumer dispute resolution: Romanian consumers may contact the Autoritatea Națională pentru Protecția Consumatorilor (ANPC) for assistance or to initiate an alternative dispute resolution procedure:

Note: The EU-wide Online Dispute Resolution (ODR) platform operated by the European Commission was discontinued in February 2024 and is no longer available. 11. Trademark Notice

Odoo® is a registered trademark of Odoo S.A. CodifyAI is an independent services provider and is not affiliated with, endorsed by, sponsored by, or officially connected with Odoo S.A. The use of "Odoo" in our materials refers solely to the open-source Odoo Community software published under the LGPL-3 licence. All other trademarks remain the property of their respective owners.

12. Changes to These Terms

We may update these terms. Material changes will be communicated to registered customers by email or via the website. Continued use of services after changes take effect constitutes acceptance of the updated terms.

9. Business customers (B2B)

Our products and services are offered to businesses. Where you enter into a contract in the course of your trade, business, craft or profession, you act as a business customer and the statutory consumer right of withdrawal does not apply.

10. Consumers — Right of Withdrawal

If you are a consumer (a natural person acting outside your trade or profession), you have the right to withdraw from a distance contract within 14 days without giving any reason. The withdrawal period expires 14 days from the day of the conclusion of the contract (for services and digital content) or from the day you receive the goods.

To exercise your right of withdrawal you may use our withdrawal button, or inform us by a clear statement (e.g. an email to [email protected]). To meet the withdrawal deadline it is sufficient to send your communication before the period has expired.

Loss of the right of withdrawal. The right of withdrawal does not apply, or is lost, where you have expressly requested that performance begin during the withdrawal period and acknowledged that you lose the right once the service has been fully performed (Art. 16(a)), for supplied digital content where you gave such consent and acknowledgement (Art. 16(m)), and for goods made to your specifications (Art. 16(c)).

Effects of withdrawal. If you withdraw, we will reimburse all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed. Where you requested services to begin during the withdrawal period, you shall pay an amount proportionate to what has been provided until you communicated your withdrawal.
